Issuance of Investment Registration Certificate in Vietnam

Foreign investor and Investment project

Foreign investor means any individual with a foreign nationality or organization established in accordance with foreign law conducting business investment activities in Vietnam.

Investment project means a collection of proposals for the expenditure of medium or longterm capital in order to conduct business investment activities in a specific geographical area and for a specified duration. 

Investment Registration Certificate (IRC) in Vietnam:

Before setting up an organization (establishing of an enterprise), foreign investors must have investment project and carry out procedures for issuance of Investment Registration Certificate. 

Therefore, the requirements for foreign investors in Vietnam are: (1) have investment project and, (2) to carry out procedures for issuance of Investment Registration Certificate, before the establishment of an enterprise. 

Enterprise Registration Certificate (ERC) in Vietnam:

Application form for an ERC;

Articles of Incorporation;

List of company’s members;

Copy of passport for foreign investors being an individual;

Copy of Certificate of Incorporation for foreign investors being an organization and this must be consularly legalized;
