Hi DMS Law office in Vietnam! Before carrying out procedures to establish a company, founders have to sign office rental agreements in their own names. After the enterprise registration, does the company have to renew such office lease agreements, using the company’s name ?

Contracts prior to enterprise registration:

The founder(s) of an enterprise may sign contracts for the purpose of establishment and operation of the enterprise prior to and during enterprise registration.

When the enterprise is established, the enterprise must continue to exercise the rights and perform the obligations arising from the signed contracts as stipulated in Clause 1 of this Article unless otherwise agreed by the parties to such contracts.

Where the enterprise is not registered for establishment, the person(s) who signed the contracts pursuant to Clause 1 of this Article shall be liable or the founders of such enterprise shall be jointly liable for the performance of such contracts (Article 19 Law onEnterprises No. 68/2014/QH13 dated 11/26/2014).
