The two parties mutually consent and agree to sign the legal service contract with the following articles and conditions:

Article 1. Content of the service

Based on demand of Party A to …

Party B agree to undertake and appoint its employees to implement the following assignments:…….

Article 2. Term of the contract

This contract shall be implemented from the its signing date and is terminated when Party B fulfills its contracted assignments as specified in Article 1 of this contract and Party A fulfills its payment obligations mentioned in this Contract.

Estimated time for Party B to complete the assignments mentioned in Article of this Contract is:….. working days from the date of ….

Specific schedules: According to the Letter to acknowledge the Receipt of Documents issued by the competent authorities. Party B shall inform or email a scanned copies of such Letter to Party A.

Article 3. Party A’s Rights and Obligations

3. 1. Party A has the rights:

- To request Party B to implement the legal services agreed in this contract;

- To request Party B to inform the progress of implementation of the contract;

- To request a unilateral termination of this contract prior to expiry, if the continued implementation of the contract is not beneficial to Party A, but Party A must inform Party B at least 15 working days in advance about such termination. In this case, this contract shall be deemed as terminated naturally and Party B does not have obligations to refund any service fee which was received by Party B from Party A under this contract.

3. 2. Party A has the obligations:

- To provide full documents, proofs and information regarding to Party A and Party B’s requirements;

- To ensure all documents, proofs and information provided to Party B is genuine and true;

- To obey to summons of the state agencies (if any);

- To pay the service fees as agreed in Article 5 of this contract.

Article 4. Party B’s Rights and Obligations

4. 1. Rights of Party B:

-  To request party A to provide supporting documents, evidence, information and essential means to implement the agreed assignments;

- To request Party B to pay the service fee and expenses as agreed in this Contract;

- To refuse to implement the assignments if Party A failed to conform to this Contract.

4. 2. Obligations of Party B:

- Party B has obligation to fulfill the assignments mentioned in Article 1 of this Contract according to law;

- To devote effort to implement the above assignments for Party A.

- To timely inform Party A about relating issues in implementation progress of the assignments;

- To maintain confidentiality of information obtained during the course of implementation of this contract.

Article 5. Service fee and payment method:

5. 1. Service fee:

- The service fee for Party B to perform the assignments mentioned in Article 1 of this contract is VND ... (In words: ...). This service fee includes 10% value  added tax (VAT).

5. 2. Payment method:

- First payment: At the time of signing this contract is VND: ... (In words: ...);

- Second payment: At the time of finishing the agreed tasks is VND: ... (In words: …).

Article 6. Other expenses:

Other expenses will be discussed and agreed by the two parties….

Article 7: Responsibilities for breach of contract.

The breaching party must compensate the other party for loss suffered (if any) according to laws.

Article 8. Method of resolving dispute

During the course of implementing this contract, if there is any issues that need to be resolved, then both parties will discuss and agree to resolve the problem timely, comfortably and reasonably. In case a satisfactory agreement cannot be reached then either of the parties reserves the right to take legal proceedings against the other party, according to laws and regulations.

Article 9. Other commitments

Both parties agree to conform to the above terms and conditions, and do not raise any other issues.

This contract is made into 02 copies, each consists of …pages with equally legal validity. Each party shall keep one copy.
