Extension of Investment Registration Certificate in Vietnam ?

Hi DMS Law office in Vietnam! My company is a 100% foreign invested company in Da Nang, Vietnam. My company operates in trade, import, export and wholesale distribution of goods in Vietnam. My company wants to extend the period of project in Vietnam, could you advise about procedures for adjustment of Investment Registration Certificate in Vietnam ?

When the Certificate of investment registration has to be adjusted, the investor shall follow the procedures for adjusting the Certificate of investment registration. Procedures for adjustment to the Certificate of investment registration consist of: 

A written request for adjustment to the Certificate of investment registration;

A report on project execution up to the date of project adjustment;

A decision on adjustments to the investment project;

Documents mentioned in Points b, c, d, dd and e Clause 1 Article 33 of this Article relevant to the adjustments (Clauses 1, 2 Article 40 Law on Investment No. 67/2014/QH13 dated November 26, 2014).

Within 10 working days from the day on which the satisfactory application is received as prescribed in Clause 1 of this Article, the investment  registration office shall adjust the Certificate of investment registration. In case of rejection, the investor must be notified in writing and provided reasons.

If the project is subject to issuance of a decision on investment policies, the investment registration office shall follow the procedures for issuance of a decision on investment policies before adjusting the Certificate of investment registration if the adjustments are pertaining to the objectives, targets, , place of investment, primary technologies of the project, increase or decrease of capital investment by more than 10%, project duration, changes of investors or conditions applied to investors (if any).

If the request for adjustment to the Certificate of investment registration makes the project subject to issuance of a decision on investment policies, the investment registration office shall follow the procedures for issuance of a decision on investment policies before adjusting the Certificate of investment registration ( Clauses 3, 4 and 5 Article 40 Law on Investment No. 67/2014/QH13 dated November 26, 2014; Clause 3 Article 33 Decree No. 118/2015/NĐ-CP dated November 12, 2015).
